Terms of Service

Last Updated: 18 October 2026

These Terms were published on 18 October 2026. If you created your Account before these Terms were published, these Terms apply to you from 20 November 2026, and until then the previous version continues to apply to you. However, Section 8.3 (Cancellation and Refunds) of these Terms, together with the definitions and provisions it refers to, applies to any subscription you start after these Terms were published, whenever you created your Account. If you created your Account before these Terms were published and do not accept them, you may close your Account before 20 November 2026; if you have a paid subscription that you started before these Terms were published, closing your Account ends it, and we will refund you for the rest of the billing period (see Section 8.3).

PLEASE READ THESE TERMS OF SERVICE CAREFULLY

These Terms of Service ("Terms" or "Agreement") govern your use of the VideoZero website located at https://videozero.ai (the "Site") and online services available, accessible, or enabled via the Site (collectively with the Site, the "Services"). The Services include, without limitation, the online platform through which users can create AI-generated video content using our code-driven video generation technology.

The Services are operated by VIDEOZERO TECHNOLOGIES LTD, a company registered in England and Wales under company number 16964680, whose registered office is at First Floor, Swan Buildings, 20 Swan Street, Manchester, M4 5JW, United Kingdom ("VideoZero," "we," "our," or "us"). You can contact us at [email protected].

THESE TERMS GOVERN THE USE OF THE SERVICES. YOU ARE ASKED TO ACCEPT THESE TERMS WHEN YOU CREATE AN ACCOUNT, AND THEY ALSO APPLY WHEN YOU USE THE SITE WITHOUT AN ACCOUNT. BY ACCEPTING THEM, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS, (2) YOU ARE AT LEAST 18 YEARS OLD, OR YOU ARE AT LEAST 16 YEARS OLD AND YOUR PARENT OR GUARDIAN HAS AGREED TO THESE TERMS ON YOUR BEHALF (SEE SECTION 2.3), AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE TERMS PERSONALLY OR ON BEHALF OF THE ENTITY YOU HAVE NAMED AS THE USER, AND TO BIND THAT ENTITY TO THESE TERMS. THE TERM "YOU" REFERS TO THE INDIVIDUAL OR LEGAL ENTITY, AS APPLICABLE, IDENTIFIED AS THE USER WHEN YOU REGISTERED ON THE SITE. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE THIS SITE OR THE SERVICES.

CHANGES TO THESE TERMS. We may change these Terms where there is a valid reason to do so: to reflect a change in the Services or in the technology underlying them, to reflect a change in law or regulatory requirement, to reflect a change in our costs of providing the Services, or to correct an error or improve clarity. This does not allow us to change the price of a subscription you already have (see Section 8.2). When we do, we will post the updated Terms on the Site and update the "Last Updated" date. Where a change materially affects you, we will give you reasonable notice by email or through the Services before it takes effect. If you do not accept a change, you may stop using the Services and close your Account before it takes effect. If a change to these Terms materially disadvantages you and you have a paid subscription, you may instead end your subscription by telling us before the change takes effect, and we will refund you for the rest of the billing period (see Section 8.3). Continuing to use the Services after a change takes effect means you accept it.

CONSUMERS. In these Terms, you are a "consumer" if you are an individual using the Services wholly or mainly for purposes outside your trade, business, craft or profession. If you use the Services mainly for personal purposes, you are a consumer even if you also use them partly for your work. Provisions that apply "if you are not a consumer" apply only to customers who are not consumers, and never limit a consumer's rights.

COMMUNICATIONS: We will send you emails and in-product messages about your Account and the Services, as described in Section 1.7 below.

1. USE OF THE SERVICES

1.1 The Services

The Services consist of VideoZero's proprietary AI-powered video generation platform (the "Platform") and certain tools and services associated therewith. Except for files you upload, other materials that you supply to the Services, and Generated Content (other than any VideoZero or licensor material and any Shared Outputs it includes, see Section 4.2), the Platform, the Site, the Services, and the information and content made available on the Site and through the Services are the sole property of VideoZero and its licensors. Your rights in respect of Generated Content are set out in Section 4.2.

1.2 Licence to the Services

Subject to your ongoing compliance with this Agreement, VideoZero grants you a limited, non-exclusive, non-sublicensable and non-transferable licence to access and use the Services in accordance with their designed functionality for your personal or business purposes, including creating content for your clients. VideoZero provides a code-driven video generation platform. Videos are rendered in your browser; some features, such as video file exports and preview frames, are rendered on our servers.

1.3 Use of AI

Our Services use artificial intelligence platforms, algorithms and models ("AI Systems") to generate video content, animation code, and results (collectively, "Generated Content") based on the prompts or other inputs you provide ("Inputs"). You acknowledge that:

  • Generated Content is intended to assist you in creating video content and is not intended as any final, definitive or comprehensive representation of any particular topic or idea
  • Generated Content is based on your Inputs and AI Systems, and VideoZero cannot guarantee the specific outputs produced
  • AI output can contain errors, so you should check Generated Content before you rely on or publish it

If you are not a consumer, you also acknowledge that all Generated Content is provided "as is" and with "all faults"; that VideoZero makes no representations or warranties of any kind with respect to Generated Content, including any warranties of accuracy, completeness, truthfulness, timeliness, or suitability; and that VideoZero will have no liability for the unavailability of any AI Systems or any third party's decision to discontinue, suspend, or terminate any AI Systems. If you are a consumer, Section 9 explains the rights you have in respect of Generated Content.

1.4 Project Referencing

The Services allow you to reference your own existing projects by using project identifiers in your prompts. You cannot reference other users' projects.

1.5 Service Updates

We continually develop the Services and may add, change, or remove features, for example to improve them, to keep them secure, or to reflect changes in the technology or AI models they rely on. Minor updates may happen without notice. We will tell you in advance, by email or through the Services, about any update that substantially changes the Services or materially reduces what you can do with them. If such an update materially disadvantages you and you have a paid subscription, you may end your subscription by telling us before the update takes effect or within 30 days after we tell you about it or after it takes effect, whichever is later, and we will refund you for the rest of the billing period (see Section 8.3). You may need to update third-party software, such as your browser, from time to time in order to use the Services.

1.6 Restrictions on Use

The rights granted to you in this Agreement are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Services or any portion thereof, including the Site, except as expressly permitted; (b) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Services except to the extent the foregoing restrictions are expressly prohibited by applicable law; (c) except through the APIs, MCP server, and other integrations we make available, and in accordance with their documentation, you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to "scrape" or download data from any web pages contained in the Site; (d) except as expressly stated herein, no part of the Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; and (e) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in the Services. Any future release, update or other addition to the Services shall be subject to this Agreement. These restrictions do not limit your right to download, export, display, distribute or otherwise use your videos and other Generated Content as permitted by Section 4.2.

1.7 VideoZero Communications

We send two kinds of message. Service messages — about your Account, your purchases, security, and material changes to the Services — are part of providing the Services and are sent by email or through the Services. Marketing messages — about new features, offers, and news relating to our own similar products and services — are sent by email only. If you create an Account, we may send you these emails unless you opt out. You can opt out straight away using the unsubscribe link in the welcome email we send when you sign up, and at any time afterwards using the unsubscribe link in any marketing email or through your email preferences. Opting out does not affect service messages.

2. USER ACCOUNTS AND REGISTRATION

2.1 Registering Your Account

In order to access certain features of the Services you may be required to register an account on the Site ("Account").

2.2 Third-Party Authentication

Account registration, sign-in, and session management for the Services are provided by a third-party authentication provider acting as our data processor. Our handling of the personal data involved is described in our Privacy Policy. You may sign into or otherwise link your Account with a valid account that you hold through a compatible third-party authentication service ("Third-Party Account") by allowing VideoZero to access your Third-Party Account. You represent that you are entitled to disclose your Third-Party Account information to VideoZero and/or grant VideoZero access to your Third-Party Account without breach by you of any terms and conditions that govern your use of the applicable Third-Party Account. PLEASE NOTE THAT YOUR RELATIONSHIP WITH ANY THIRD-PARTY ACCOUNT PROVIDER IS GOVERNED SOLELY BY YOUR AGREEMENT WITH THAT PROVIDER.

2.3 Registration Data

In registering an account on the Site, you agree to (a) provide true, accurate, current and complete information about yourself; and (b) maintain and promptly update such information to keep it true, accurate, current and complete. You represent that you are (i) at least sixteen (16) years old; and (ii) not a person barred from using the Services under the laws of the United Kingdom, your place of residence or any other applicable jurisdiction. If you are under 18, you may only use the Services with the involvement and agreement of a parent or guardian, who accepts this Agreement on your behalf and is responsible for your use of the Services. You are responsible for all activities that occur under your Account. You may not share your Account or password with anyone (see Section 2.4), and you agree to notify VideoZero immediately of any unauthorised use of your password or any other actual or suspected breach of security.

2.4 Account Ownership

Your Account is personal to you and may not be sold, transferred, or shared. An organisation can be our customer, but each person who uses the Services, including on behalf of an organisation, needs their own Account, and Accounts may not be shared between people, even within the same organisation. This does not affect your ownership of Your Content or your rights in Generated Content under Section 4.2.

2.5 Necessary Equipment and Software

You must provide all equipment and software necessary to connect to the Services, including but not limited to, a device and browser that is suitable to connect with and use the Services. You are solely responsible for any fees, including Internet connection or mobile fees, that you incur when accessing the Services.

3. CONTENT RESPONSIBILITY

3.1 Types of Content

"Content" means any information, data, text, software, code, scripts, music, sound, photographs, graphics, video, messages, tags, and/or other materials. You acknowledge that all Content is the sole responsibility of the party from whom such Content originated. This means that you, and not VideoZero, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available ("Make Available") through the Services ("Your Content"). "Generated Content" has the meaning given in Section 1.3.

3.2 No Obligation to Pre-Screen Content

You acknowledge that VideoZero has no obligation to pre-screen Content (including Your Content), although VideoZero may pre-screen Content, and may refuse or remove Content that it reasonably believes breaches this Agreement or applicable law (see Section 6).

3.3 Content Standards

Your Content may not contain pornographic or sexually explicit material, graphic or gratuitous violence, or material that promotes hatred, harassment or violence against any person or group. Covering difficult subjects for educational, documentary, news, or artistic purposes (for example, a history explainer about a war) is permitted. Your Content must not violate any applicable laws or third-party rights.

3.4 Third-Party Rights in Generated Content

Generated Content may include, reference, or resemble materials that are subject to third-party rights, including without limitation copyrights, trademarks, design rights, moral rights, rights of publicity, privacy rights, or other proprietary rights. If you are not a consumer, VideoZero does not represent or warrant that Generated Content is free of such rights, except for our rights and those of our licensors in the material and Shared Outputs that we supply and license to you under Section 4.2 (but not rights in your Inputs or in content they reproduce). Except for those rights of ours and our licensors, you are solely responsible for determining whether any consent, licence, or clearance from a third party is required before using Generated Content for any particular purpose, and for obtaining any such consent, licence, or clearance.

3.5 User-Uploaded Files

The Services may allow you to upload files, such as images and videos ("Uploaded Files"), for use in your projects. The following terms apply to all Uploaded Files:

  • Files are served publicly. Uploaded Files are made available through publicly accessible URLs so that they can be displayed in your videos. Anyone who obtains the link to your video or to the file itself will be able to access the Uploaded File without authentication, even though your projects are private (see Section 4.4). You should therefore not upload any private, confidential, sensitive, or personal information, or any file that you do not wish to be publicly accessible.
  • Limited use. We use Uploaded Files to store them, to show them in your videos, and to generate your videos from them. Generating a video can involve reading a file's contents (for example, the data in an uploaded spreadsheet used to draw a chart) and sending those contents to our AI model providers. A file, or content based on it, may also appear in the preview frames sent to our AI model providers while your video is generated, and in the generation records we review under Section 4.3. We may also review or remove Uploaded Files where needed to enforce these Terms. We do not use your Uploaded Files for any purpose other than those described here and in Section 4.3, and we do not use them to train AI models.
  • No hosting or preservation guarantee. VideoZero does not guarantee the continued hosting, availability, retention, or preservation of any Uploaded File. Uploaded Files may become unavailable or be lost, for example through technical failure, so please keep your own backup copies of any files you upload. Videos and projects that reference an Uploaded File may stop displaying correctly if that file is no longer available.
  • Deletion from inactive accounts. VideoZero may delete Uploaded Files associated with inactive accounts. An account is inactive if it is a free account (with no paid subscription) that has not been signed in to or used for 90 days or more. We will email you at the address on your Account at least 7 days before deleting any such files. We may also remove any Uploaded File in accordance with these Terms.

4. INTELLECTUAL PROPERTY AND LICENCES

4.1 VideoZero's Intellectual Property

Except with respect to files you upload, other materials that you supply to the Services, and Generated Content (which is addressed in Section 4.2), you agree that VideoZero and its suppliers own all rights, title and interest in the Services (including but not limited to, any computer code, themes, objects, concepts, artwork, animations, sounds, audiovisual effects, methods of operation, moral rights, and documentation). You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services.

4.2 Your Rights in Generated Content

You own the Generated Content you create. Subject to the exceptions in the rest of this paragraph, as between you and VideoZero, you own the Generated Content created from your Inputs, and to the extent we hold any rights in it, we hereby assign them to you, including by way of present assignment of future copyright. Your ownership does not extend to material that we or our licensors own and that your videos and animation code may include, such as Components (Section 4.7), templates, icons, fonts, or stock media, and it is subject to any third-party rights described in Section 3.4. It also does not extend to individual media assets, such as narration audio or sound effects, that the Services generate from a single input, such as one narration line or one sound-effect description, and store so that they are provided identically to every user who submits the same input ("Shared Outputs", see Section 4.3); we or our licensors keep the rights in those (this does not affect your rights in your Inputs). Your videos and animation code as a whole are not Shared Outputs. VideoZero grants you a perpetual, worldwide, non-exclusive, royalty-free commercial licence to use, reproduce, modify, adapt, distribute, publicly display and publicly perform that material and those Shared Outputs in or with the videos and animation code you create through our Services, including edited versions of them and works that incorporate them, regardless of whether you are on the free tier or a paid tier at the time of generation. You may pass this licence on to your clients, and to anyone to whom you transfer or license your videos or animation code, so that they can use them on the same terms. Using that material or those Shared Outputs on a standalone basis is restricted by Section 4.6.

If the assignment above is not effective for any reason, we hold those rights for your benefit and will do what is reasonably needed to transfer them to you.

This commercial licence does not expire or terminate, even if you later downgrade or upgrade your plan or your subscription ends, and it survives termination of this Agreement. It is subject to the restrictions in Section 4.6 and does not apply to such material or Shared Outputs in Generated Content created in material breach of this Agreement, including for anyone to whom you passed this licence on. For the avoidance of doubt, this Section does not affect your ownership of Your Content, including any files you upload.

You can download and use your Generated Content in the formats and with the settings that the Services and your plan offer.

4.3 Licence to Your Content for Service Operation

You grant VideoZero a fully paid, royalty-free, worldwide, non-exclusive right and licence to use Your Content and Generated Content (in whole or in part) solely for the purposes of operating, providing, and improving the Services, enforcing these Terms, and complying with law, including, without limitation, as necessary to provide product support, debug issues, and review your prompts and generations to improve how the Services generate videos. This does not include training AI models. We may sublicense this right only to the service providers we use to operate the Services, and only for those purposes.

Shared Outputs (Section 4.2) are identical for everyone who requests them, for example narration of the same words in the same voice. We may generate such an output once, store it, and provide it to every user who requests it, and we may keep it after your Account is closed so that other users' videos keep working. This licence continues after your Account is closed only to that extent, and to the extent needed to keep copies in our backups until they are overwritten and to keep the records described in our Privacy Policy.

4.4 Your Projects Are Private

Your projects are private on both the free and paid tiers. They are not listed in any gallery, other users cannot reference them, and VideoZero does not use them or your prompts in marketing. Anyone you give a link to a video or to an Uploaded File can view it (see Section 3.5).

4.5 Feedback

You agree that submission of any ideas, suggestions, documents, and/or proposals to VideoZero ("Feedback") is at your own risk and that VideoZero has no obligations (including without limitation obligations of confidentiality) with respect to such Feedback. Feedback does not include Your Content or Generated Content, which are governed by Sections 4.2 to 4.4, even if you share them with us together with Feedback. You hereby grant to VideoZero a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and licence to use, reproduce, perform, display, distribute, adapt, modify, create derivative works of, and otherwise exploit in any manner, any and all Feedback, in connection with the operation and maintenance of the Services and/or VideoZero's business.

4.6 Restrictions on Use of Generated Content

When using Generated Content, you may not:

  • Extract material that we or our licensors own and that your Generated Content includes (such as Components, templates, icons, fonts, or stock media), or Shared Outputs (see Section 4.2), and sell, license, sublicense, or otherwise distribute it (in digital or physical form) on a standalone basis, meaning where no meaningful creative effort has been applied and it remains substantially in the form in which the Services supplied it. This restriction does not limit your rights under Section 4.2 in respect of your videos themselves, or prevent you from incorporating Generated Content into your own creative works, products, presentations, or services.
  • Use Generated Content that contains third-party trademarks, logos, or brands that you do not own or are not authorised to use for commercial purposes in relation to goods or services, including without limitation printing or displaying such Generated Content on merchandise or other physical products offered for sale.
  • Use Generated Content in a manner that depicts, references, or resembles an identifiable person in an immoral, illegal, defamatory, harassing, sexually explicit, or otherwise harmful context, or without first obtaining any rights, consents, or releases required from such person under applicable law (including rights of publicity and privacy).
  • Use or register material that we or our licensors own and that your Generated Content includes, or Shared Outputs, or any portion of them, as a trademark, design mark, trade name, business name, service mark, or logo.

Because the Services are non-exclusive, the same or substantially similar Generated Content may be created for, and used by, other users. Your ownership of your Generated Content does not give you rights over similar content that others create independently, and you may therefore be unable to register Generated Content as a trademark or to enforce exclusive rights in it.

4.7 Components

VideoZero may make available certain reusable components as part of the Services (the "Components"). You are free to use the Components in any project you create with the Services, whether personal or commercial. Attribution to VideoZero is welcomed but not required.

IF YOU ARE NOT A CONSUMER, THEN SUBJECT TO SECTION 10.5, THE COMPONENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, AND WITHOUT ANY GUARANTEES AS TO THEIR PERFORMANCE, ACCURACY, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. YOUR USE OF THE COMPONENTS IS AT YOUR OWN RISK, AND VIDEOZERO SHALL HAVE NO LIABILITY ARISING FROM OR RELATED TO YOUR USE OF THE COMPONENTS. If you are a consumer, Section 9 explains the rights you have in respect of the Components.

5. USER CONDUCT AND ACCEPTABLE USE

As a condition of use, you agree not to use the Services for any purpose that is prohibited by this Agreement or by applicable law. You shall not (and shall not permit any third party to) either (a) take any action or (b) Make Available any Content on or through the Services that:

  • Infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any person or entity
  • Is unlawful, threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, invasive of another's privacy, tortious, or obscene
  • Constitutes unauthorised or unsolicited advertising, junk or bulk email, or spam
  • Runs competitions or prize draws on or through the Services without VideoZero's prior written consent (this does not limit your right to use Generated Content commercially, as described in Section 4.2)
  • Impersonates any person or entity, including any employee or representative of VideoZero
  • Interferes with or attempts to interfere with the proper functioning of the Services
  • Attempts to engage in or engages in any potentially harmful acts directed against the Services, including but not limited to:
    • Violating or attempting to violate any security features of the Services
    • Using manual or automated software or other means to access, "scrape," "crawl" or "spider" any pages contained in the Services, other than through the APIs, MCP server, and other integrations we make available, in accordance with their documentation
    • Introducing viruses, worms, or similar harmful code into the Services
    • Interfering with use of the Services by any other user, host or network, including by means of overloading, "flooding," "spamming," "mail bombing," or "crashing" the Services
  • Uses the Services to generate content for illegal purposes
  • Uses Generated Content in a misleading or deceptive manner, including without limitation creating non-consensual depictions of identifiable persons, "deepfakes," fabricated quotations or events, fake endorsements or affiliations, or other content intended to misrepresent real persons, organisations, events, or affiliations, or to spread misinformation
  • Attempts to gain unauthorised access to our systems or other users' accounts
  • Uploads malicious code or content that could harm the Services or other users

6. MONITORING AND ENFORCEMENT

VideoZero may, but is not obligated to, monitor or review the Services and Content at any time. Although VideoZero does not generally monitor user activity occurring in connection with the Services or Content, VideoZero reserves the right to:

  • Remove or refuse to accept any of your Content that we reasonably believe breaches this Agreement or applicable law, infringes the rights of others, or could create liability for VideoZero
  • Take any action with respect to any of your Content that we reasonably consider necessary or appropriate, including if we believe that such Content violates this Agreement, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for VideoZero
  • Disclose your identity or other information about you to a third party who claims that Content you Make Available violates their rights, including their intellectual property rights or their right to privacy, where we are required or permitted to do so by law
  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorised use of the Services
  • Suspend or terminate your access to all or part of the Services as described in Section 12.1

7. THIRD-PARTY SERVICES

7.1 Third-Party Websites and Services

The Services may contain links to third-party websites, applications, and services (collectively, "Third-Party Services"). Such Third-Party Services are not under the control of VideoZero. VideoZero is not responsible for any Third-Party Services. VideoZero provides Third-Party Services only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Services. You use all Third-Party Services at your own risk. When you leave our Services, this Agreement and our policies no longer govern. You should review applicable terms and policies, including privacy and data gathering practices, of any Third-Party Services.

7.2 Sharing Your Content Through Third-Party Services

VideoZero may provide tools through the Services that enable you to export information, including Your Content, to Third-Party Services. By using one of these tools, you agree that VideoZero may transfer that information to the applicable Third-Party Service. VideoZero is not responsible for any Third-Party Service's use of your exported information.

8. FEES, PAYMENT, AND USAGE LIMITS

8.1 Usage-Based System

Certain features of VideoZero operate on a usage-based system. You may be subject to usage limits or quotas.

Credits. Generating videos and other media with our AI features, such as images, narration, and sound, uses generation credits ("credits"). Different actions use different numbers of credits, and you can see how many credits you have left in your Account. If we materially increase the number of credits needed for the same action, we will tell you in advance, and Section 1.5 applies, including your right to end your subscription and receive a refund for the rest of the billing period. Free accounts receive a one-off allowance of trial credits, which does not renew. Each paid plan includes the number of credits shown for it for each billing period. Plan credits reset at the start of each billing period, and unused credits do not carry over to the next one. We may also give you bonus credits, for example as a goodwill gesture; unless we tell you otherwise, bonus credits can only be used in the billing period in which we give them. Credits are not money, have no cash value, cannot be transferred to another Account, and are not refunded except as set out in these Terms or as required by law.

8.2 Payment

If you purchase a subscription, you shall pay the fees shown for your plan when you subscribed. Paid subscriptions are billed monthly in advance and renew automatically each month until you stop renewal (see Section 8.3). We do not change the price of a plan you are subscribed to: if our prices change, the new prices apply to new plans, and you only move to a new plan if you choose to. You agree to let VideoZero process your payment information through our third-party payment providers, as described in our Privacy Policy.

8.3 Cancellation and Refunds

If you are a consumer, you have a legal right to cancel a new subscription within a period ending 14 days after the day you subscribe (the "cancellation period") without giving any reason. To cancel, tell us within that period by emailing [email protected] or by any other clear statement. Renewals of an existing subscription, and upgrades or other changes to your plan, do not start a new cancellation period. If you stop renewal from the Billing section of your account within the cancellation period of a new subscription, we treat that as notice that you are cancelling and refund you under this Section without you having to ask.

Your subscription, including the generation credits that come with it, starts as soon as you subscribe. By subscribing, you ask us to begin providing it straight away, during the cancellation period. If you then cancel within the cancellation period, we will refund the price you paid less an amount proportionate to what we supplied before you told us you were cancelling. We work that amount out as follows:

  • Generation credits, and the videos and other media you create with them, are supplied as part of the service we provide to you. Of what you pay for each billing period, 90% is for the credits included in your plan and 10% is for access to the Services for that period.
  • Credits: 90% of the price multiplied by the share of the credits included in your plan for that billing period that you had used. Credits you used count first against any bonus credits you had, and only the rest count towards the credits included in your plan. If you changed plan during that billing period, we use the credits included in the plan you were on when you cancelled.
  • Access: 10% of the price multiplied by the share of the billing period that had passed, counted from the day you subscribed.
  • "The price" means everything you paid for the subscription from the day you subscribed to the day you cancelled. The amount we deduct will never be more than the price.

We may only make this deduction if you expressly asked us to begin providing the subscription during the cancellation period and we gave you the information the law requires about your right to cancel and about this deduction before you subscribed; otherwise, you will receive a full refund. Your subscription ends on the day you tell us you are cancelling. We will then make the refund within 14 days of that day, using the payment method you used.

You may use the following model cancellation form, but you do not have to: "To VIDEOZERO TECHNOLOGIES LTD, First Floor, Swan Buildings, 20 Swan Street, Manchester, M4 5JW, United Kingdom, [email protected]: I hereby give notice that I cancel my contract for the supply of the following service: [your plan]. Ordered on: [date]. Name: [your name]. Address: [your address]. Email address of your Account: [email]. Signature (only if this form is notified on paper). Date: [date]."

If you are not a consumer, you have the same right to cancel a new subscription within the cancellation period, as a contractual right rather than a statutory one, and the rest of this Section applies to you in the same way (including stopping renewal or closing your Account within that period counting as cancelling), except that the deduction described above always applies.

Refunds for the rest of a billing period. Where these Terms say we will refund you for the rest of the billing period (see the paragraph about when these Terms apply to you and the change clause, both at the start of these Terms, and Sections 1.5, 12.1 and 14.3), we refund the price you paid for the current billing period multiplied by the share of that period remaining after your subscription or access ends. This refund is calculated by time, whatever credits you have used. Under Section 14.3, we instead refund the price of every billing period, or part of one, from the day the event first prevented us from providing the Services. We make the refund within 14 days, using the payment method you used. To end your subscription under the paragraph about when these Terms apply to you, the change clause, Section 1.5 or Section 14.3, tell us by emailing [email protected] or by any other clear statement, or close your Account (see Section 12.2). Your subscription then ends on the day you tell us, or on a later date you choose, but no later than the last day on which that provision lets you end it. If you are also within the cancellation period, we apply whichever refund is higher.

Outside the cancellation period, you can stop a subscription from renewing at any time from the Billing section of your account. Your plan then remains active until the end of the billing period you have already paid for, and no refund is due for the remainder of that period except as set out in this Section or as required by law.

Nothing in this Section affects your other legal rights, including your rights if the Services or Generated Content are faulty or not as described, or if the Services are not provided with reasonable care and skill.

8.4 Taxes

The price shown for a plan is the total you pay and includes any VAT that applies. We are not registered for UK VAT, so no UK VAT is added for customers in the United Kingdom. If you are a consumer in the European Union, the price includes VAT at the rate of the EU country where you live, which we account for through the EU VAT One Stop Shop. If you are a business customer, you are responsible for any VAT or similar tax that applies to your purchase under the rules of your country (for example under the reverse charge); if you need an invoice showing your business details or VAT number, contact us at [email protected]. Outside the United Kingdom and the European Union, where we are required to charge a local sales tax, the price includes it.

9. DISCLAIMERS OF WARRANTIES

If you are a consumer, we are under a legal duty to provide the Services with reasonable care and skill and as described to you, and any digital content we supply must be of satisfactory quality, fit for purpose, and as described. Nothing in this Section 9 or in Section 10 affects these legal rights or the remedies you have if we do not meet them. Advice about your legal rights is available from your local Citizens Advice or Trading Standards office. The disclaimers in Sections 9.1 to 9.4 apply only if you are not a consumer; Section 9.5 applies to everyone to the extent the law allows.

9.1 "AS IS" Service

IF YOU ARE NOT A CONSUMER, YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. VIDEOZERO EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS ARISING FROM USE OF THE SITE AND/OR THE SERVICES. THIS DOES NOT EXCLUDE OUR OBLIGATION TO PROVIDE THE SERVICES WITH REASONABLE CARE AND SKILL; OUR LIABILITY FOR ANY BREACH OF THAT OBLIGATION IS LIMITED AS SET OUT IN SECTION 10.

9.2 No Warranty Regarding Service Performance

IF YOU ARE NOT A CONSUMER, VIDEOZERO MAKES NO WARRANTY, REPRESENTATION OR CONDITION THAT: (1) THE SERVICES WILL MEET YOUR REQUIREMENTS; (2) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (3) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (4) ANY GENERATED CONTENT OR AI-GENERATED RESULTS WILL BE ACCURATE, COMPLETE, SUITABLE FOR YOUR PURPOSES, OR FREE FROM ERRORS OR HARMFUL CONTENT.

If you are a consumer: we take reasonable care to keep the Services available, but they may sometimes be interrupted, for example for maintenance, and AI output can contain errors, so please check Generated Content before you rely on it. This does not affect your rights described at the start of this Section 9.

9.3 Content and Security Disclaimers

IF YOU ARE NOT A CONSUMER, ANY CONTENT DOWNLOADED FROM OR OTHERWISE ACCESSED THROUGH THE SERVICES IS ACCESSED AT YOUR OWN RISK, AND YOU SHALL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY, INCLUDING, BUT NOT LIMITED TO, YOUR COMPUTER SYSTEM AND ANY DEVICE YOU USE TO ACCESS THE SERVICES, OR ANY OTHER LOSS THAT RESULTS FROM ACCESSING SUCH CONTENT. THE SERVICES MAY BE SUBJECT TO DELAYS, CANCELLATIONS AND OTHER DISRUPTIONS.

9.4 No Liability for Third-Party Conduct

IF YOU ARE NOT A CONSUMER, YOU ACKNOWLEDGE AND AGREE THAT VIDEOZERO IS NOT LIABLE FOR THE CONDUCT OF THIRD PARTIES, INCLUDING OPERATORS OF EXTERNAL SITES AND THIRD-PARTY SERVICES.

9.5 No Professional Advice

Information provided through the Services, including Generated Content, is not legal or other professional advice. Please take your own professional advice before making important decisions. If you are not a consumer, your reliance on any information provided through the Services is at your own risk.

10. LIMITATION OF LIABILITY

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or our failing to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen. We are not responsible for loss or damage that is not foreseeable, and we are not liable to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. If digital content we supply damages a device or other digital content belonging to you because we did not use reasonable care and skill, you may have a right to a remedy under the Consumer Rights Act 2015. We are not responsible for damage that you could have avoided by following our instructions or by keeping software, such as your operating system or browser, up to date. Sections 10.1 to 10.4 apply only if you are not a consumer.

10.1 Excluded Losses

IF YOU ARE NOT A CONSUMER, THEN TO THE FULLEST EXTENT PERMITTED BY LAW, VIDEOZERO SHALL NOT BE LIABLE TO YOU, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, FOR ANY: (a) LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR ANTICIPATED SAVINGS; (b) LOSS OR CORRUPTION OF DATA, EXCEPT AS SET OUT IN SECTION 10.3; (c) BUSINESS INTERRUPTION; (d) COST OF SUBSTITUTE GOODS OR SERVICES; OR (e) INDIRECT OR CONSEQUENTIAL LOSS, IN EACH CASE EVEN IF FORESEEABLE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, THE SERVICES, OR ANY GENERATED CONTENT, INCLUDING LOSS RESULTING FROM:

  • The use of, or inability to use, the Services
  • Unauthorised access to or alteration of your transmissions or data
  • Statements or conduct of any third party
  • Any Generated Content or AI-generated results

10.2 Cap on Liability

IF YOU ARE NOT A CONSUMER, THEN TO THE FULLEST EXTENT PERMITTED BY LAW, VIDEOZERO'S TOTAL LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, FOR ALL CLAIMS TOGETHER, WILL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT YOU PAID TO VIDEOZERO IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM; OR (b) ONE HUNDRED POUNDS STERLING (£100). THIS CAP DOES NOT APPLY TO REFUNDS WE OWE YOU UNDER THESE TERMS.

10.3 Storage of Content

IF YOU ARE NOT A CONSUMER, THEN EXCEPT FOR VIDEOZERO'S OBLIGATIONS TO PROTECT YOUR PERSONAL DATA AS SET OUT IN VIDEOZERO'S PRIVACY POLICY, AND EXCEPT WHERE CAUSED BY OUR FAILURE TO TAKE REASONABLE BACKUP AND SECURITY MEASURES, VIDEOZERO ACCEPTS NO RESPONSIBILITY FOR THE DELETION OR LOSS OF, OR FAILURE TO STORE, ANY CONTENT (INCLUDING YOUR CONTENT AND GENERATED CONTENT), COMMUNICATIONS OR PERSONALISATION SETTINGS. ANY LIABILITY WE ACCEPT UNDER THIS SECTION 10.3 IS SUBJECT TO SECTION 10.2.

10.4 Reasonableness

IF YOU ARE NOT A CONSUMER, YOU ACKNOWLEDGE THAT THE FEES FOR THE SERVICES REFLECT THE ALLOCATION OF RISK IN THIS SECTION 10, AND THAT THE LIMITATIONS IN IT ARE REASONABLE IN THE CIRCUMSTANCES.

10.5 Liabilities That Cannot Be Excluded

Nothing in this Agreement excludes or limits VideoZero's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any matter for which it would be unlawful to exclude or limit liability; or (d) where you are a consumer, your statutory rights under the Consumer Rights Act 2015 or any other mandatory provision of consumer protection law. Every exclusion, limitation and disclaimer of liability in this Agreement, wherever it appears, applies only to the fullest extent permitted by applicable law and is subject to this Section 10.5.

11. INDEMNITY

If you are not a consumer, you agree to indemnify VideoZero, its affiliates, officers, employees, agents, partners, suppliers, and licensors against any losses, costs, liabilities and expenses (including reasonable legal costs) arising out of any claim by a third party relating to any of the following, except to the extent caused by VideoZero's own breach of this Agreement or negligence:

  • Your Content
  • Your breach of this Agreement
  • Your infringement of any rights of another party
  • Your breach of any applicable laws, rules or regulations

VideoZero reserves the right, at its own cost, to take exclusive conduct of the defence of any matter otherwise covered by this indemnity, in which event you will fully cooperate with VideoZero in asserting any available defences.

12. TERMINATION

12.1 Termination by VideoZero

VideoZero may suspend or terminate any Services provided to you, or your access to the Services, immediately and without notice, if you are in material breach of this Agreement, if we reasonably suspect fraud, abuse, or unlawful use, or if we are required to do so by law or in order to protect the security of the Services or of other users. In any other case, we will give you reasonable notice before suspending or terminating your access. If we end your paid subscription for any reason other than your material breach of these Terms, or fraud or unlawful use by you, we will refund you for the rest of the billing period after your access ends (see Section 8.3). Except as provided in this Section and in Section 10.5, VideoZero is not liable to you or to any third party for a suspension or termination made in accordance with this Section.

12.2 Termination by You

You may stop using the Services, and close your Account, at any time, either by deleting it in your account settings or by emailing us at [email protected]. If you have a paid subscription when your Account is closed, we will end it so that you are not charged again; your access, including any credits remaining for the current billing period, ends when your Account is closed. Outside the cancellation period described in Section 8.3, no refund is due for the rest of that billing period, except as set out in these Terms or as required by law. If you close your Account within the cancellation period described in Section 8.3, we treat that as notice that you are cancelling, and we will refund you under Section 8.3 within 14 days without you having to ask. If you close your Account at a time when the change clause at the start of these Terms, Section 1.5 or Section 14.3 would let you end your subscription, we treat that as ending your subscription under that provision and refund you for the rest of the billing period (see Section 8.3). When an Account is deleted, we keep a record of its subscription and credit usage at that time so that we can work out any refund, as described in our Privacy Policy. If you simply stop using the Services without closing your Account, your subscription continues to renew until you stop renewal as described in Section 8.3.

12.3 Effect of Termination

Termination of a Service ends your right to use it and may include barring further use. Termination of all Services may also involve deletion of your password and of the information, files and Content associated with your Account, including Your Content, from our live systems. Once your Account is closed, videos and files we host for you stop working, including video links you have shared and videos embedded with our player, so please export or keep your own copies of anything you wish to retain before then. Deletion of Your Content does not affect your ownership of Generated Content you have already obtained or the licence in Section 4.2.

12.4 Survival

All provisions of this Agreement which by their nature should survive termination shall survive termination of the Services, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. DISPUTE RESOLUTION

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. If you are a consumer, you also benefit from any mandatory provisions of the law of the country where you live; nothing in these Terms takes away the protection those provisions give you.

13.2 Informal Resolution

If you have a dispute, claim, or controversy arising out of or relating to these Terms or the Services, please contact us first at [email protected] so that we can try to resolve it. We will attempt to resolve it by contacting you via email. If you are not a consumer, you agree to do this before commencing formal proceedings and to allow thirty (30) days for a response. If you are a consumer, this is a request rather than a condition, and nothing in this Section affects your right to bring proceedings at any time.

13.3 Jurisdiction

If you are not a consumer, you and VideoZero agree that the courts of England and Wales will have exclusive jurisdiction over any judicial proceeding to resolve claims relating to these Terms or the Services. If you are a consumer, you may bring proceedings in the courts of England and Wales or in the courts of the part of the United Kingdom, or of the country, where you live, and we may only bring proceedings against you in the courts of the place where you live.

14. GENERAL PROVISIONS

14.1 Electronic Communications

The communications between you and VideoZero may take place via electronic means, whether you visit the Services or send VideoZero emails, or whether VideoZero posts notices on the Services or communicates with you via email. For contractual purposes, you (a) consent to receive communications from VideoZero in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that VideoZero provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing.

14.2 Assignment

This Agreement, and your rights and obligations hereunder, may not be assigned, subcontracted, delegated or otherwise transferred by you without VideoZero's prior written consent. VideoZero may assign and transfer this Agreement, including any of its rights, obligations, or licences granted under this Agreement, to another organisation, provided that, if you are a consumer, this does not reduce your rights under this Agreement.

14.3 Force Majeure

VideoZero shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labour or materials. If such an event affects the Services, we will tell you promptly and take reasonable steps to minimise its effect. If it prevents us from providing the Services for more than 30 days, you may end your subscription by telling us, and we will refund you for the rest of the billing period, counted from the day the event first prevented us from providing the Services (see Section 8.3).

14.4 Severability

If any provision of this Agreement is invalid or unenforceable, the remaining provisions continue in full force and effect where legally possible. If you are a consumer, a provision that is unfair or otherwise invalid under consumer protection law does not bind you, and the rest of this Agreement continues to apply where legally possible. If you are not a consumer, an invalid or unenforceable provision shall be construed in a manner to reflect, as nearly as possible, the original intention of the parties.

14.5 Waiver

Any waiver or failure to enforce any provision of this Agreement on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.

14.6 Entire Agreement

This Agreement, together with the details of your plan shown when you subscribed, constitutes the entire agreement between you and VideoZero with respect to its subject matter and supersedes all prior discussions, agreements, or understandings of any kind. Our Privacy Policy explains how we handle personal data but does not form part of this Agreement. If you are a consumer, nothing in this Section limits your legal rights, including your rights in respect of information we gave you before you subscribed.

14.7 Notice

Where VideoZero requires that you provide an email address, you are responsible for providing VideoZero with your most current email address. You may give notice to VideoZero at [email protected]. VideoZero may give notice to you at the email address you provide to VideoZero.

15. THIRD-PARTY RIGHTS

Except that VideoZero's affiliates, officers, employees, agents, partners, suppliers and licensors may enforce any provision of this Agreement expressed to be for their benefit, a third party who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of this Agreement. This does not affect any right or remedy of such third party which exists or is available apart from that Act.
